X2 Records Label Agreement
Public template framework for a separate X2 Records Label agreement covering selected master recordings.
1. Parties and Effective Date
The final agreement identifies X2 Records or the applicable legal operator, the rightsholder, authorized representatives and the Effective Date.
2. Schedule A — Masters
Only the master recordings expressly listed in Schedule A are covered by the agreement.
3. Grant of Rights
The rightsholder grants only the rights expressly described in Schedule B, including any agreed exclusivity, exploitation rights, territory and media. No broader transfer is implied.
4. Ownership
Ownership of the masters remains with the rightsholder unless the agreement expressly states otherwise. The grant may be exclusive for the agreed term without transferring title.
5. Publishing and Compositions
Composition, songwriter and publishing rights are excluded unless a separate written provision expressly includes them.
6. Territory and Term
The territory, commencement, duration, renewal conditions and post-term obligations are defined in the agreement and Schedule E.
7. Delivery and Release
The rightsholder must deliver approved masters, artwork, metadata, clearances and other required assets. Release timing and strategy may be coordinated under the agreement.
8. Marketing and Promotion
Any agreed marketing commitments, approvals, budgets or deliverables should be listed in Schedule C or another written schedule.
9. Name, Likeness and Promotional Materials
The agreement may authorize reasonable use of approved artist names, images, biographies and promotional materials solely for exploitation and promotion of the covered masters.
10. Net Receipts and Revenue Share
Schedule D defines the applicable economic terms. A standard 85% rightsholder / 15% X2 model applies only if Schedule D expressly adopts it. Otherwise, the signed contract-specific terms control.
11. Costs and Recoupment
Only costs expressly identified as recoupable under the agreement may be recouped from the applicable revenue pool.
12. Accounting and Payment
Unless otherwise agreed, the initial accounting period is six months and later periods are ordinarily three months, subject to provider reporting, reconciliation, tax and payout eligibility.
13. Audit and Statements
The rightsholder may receive statements and any audit rights expressly granted by the final agreement, subject to reasonable procedures and confidentiality.
14. Warranties and Clearances
The rightsholder must have authority to enter the agreement and all rights required for masters, performances, samples, artwork and other supplied materials.
15. Claims, Fraud and Suspension
Rights disputes, fraud, artificial activity or material breach may result in holds, takedowns, suspension or other remedies provided by the agreement and applicable X2 policies.
16. Confidentiality
Non-public commercial, technical and contractual information may be subject to confidentiality obligations.
17. Termination and Reversion
Schedule E should define termination rights, cure periods where applicable, post-term exploitation, takedown obligations and reversion of granted rights.
18. Entire Agreement
The executed agreement and schedules constitute the complete Label arrangement for the covered masters and supersede inconsistent informal discussions or proposals.
