Terms of Service
General terms governing access to and use of X2 Services.
1. General Scope
These Terms govern access to and use of X2 Records, X2 Technology and X2 Services. Service-specific terms, orders, policies or separate agreements may also apply.
By using a service, the customer agrees to comply with these Terms and the applicable service-specific terms.
2. X2 Records and X2 Technology
X2 Records operates a technology and digital services platform. X2 Technology includes software, infrastructure, interfaces, APIs, workflows, automation, analytics and related technology.
Distribution is one X2 service and does not define the entire platform. External providers remain independent service components or adapters.
3. Users and Legal Capacity
Users must have the legal capacity and authority required to enter into the applicable agreement and to provide any instructions, content, rights data or connected-account authorization submitted to X2.
Where a person acts for a company, rightsholder, label, publisher, client or other party, that person must be authorized to do so.
4. Accounts and Security
Users must provide accurate account information, protect credentials and promptly report suspected unauthorized access. X2 may require authentication, identity, professional-role, rights, beneficiary or other verification proportionate to the requested action.
5. Professional Verification
Professional roles may be verified separately. Verification of identity does not by itself verify a professional role, and professional-role verification does not by itself prove rights in a particular recording, composition or catalog.
Limited functions may use proportionate onboarding where full professional verification is not necessary, including receipt of an accepted royalty split, subject to payout verification requirements.
6. Customer Content
Customers retain ownership of Customer Content and rights they lawfully own or control. Customers grant X2 only the rights reasonably necessary to host, process, validate, transmit, deliver, display, analyze and otherwise provide the requested service.
Customers must have all permissions necessary for content, metadata, artwork, recordings, compositions, performances, samples, voices, likenesses and other material submitted to X2.
7. Permitted Use
X2 may be used only for lawful, authorized professional and personal purposes consistent with the applicable service. Access must remain within the permissions, scopes, territories and rights granted to the user or application.
8. Prohibited Use
Users must not commit fraud, impersonate others, submit forged evidence, steal rights, manipulate streams or engagement, evade technical controls, misuse APIs, introduce malware, obtain unauthorized access, scrape prohibited data, or use X2 to violate applicable law or third-party rights.
9. Distribution, Publishing and Rights
Distribution authority, master ownership, composition ownership, publishing control and royalty entitlement are distinct concepts. A record in X2 does not by itself create ownership.
Distribution is non-exclusive by default unless a specific agreement states otherwise. Label relationships and exclusive master rights require a separate executed Label Agreement.
10. Analytics, Audience and External Data
Analytics and audience information may depend on external platforms, provider APIs and reporting methods. X2 does not guarantee universal visibility or identical metrics across providers.
Where a supported platform or rights infrastructure exposes data or an authorized API, X2 may connect that activity to canonical catalog and rights records.
11. Royalties and Financial Services
Reported Revenue is not necessarily reconciled or payable revenue. Payment eligibility depends on source reporting, reconciliation, rights status, beneficiary verification, applicable holds and the relevant accounting cycle.
The initial accounting period is six months. Subsequent accounting periods are ordinarily three months unless service-specific terms or a separate agreement provide otherwise.
12. Fees and Revenue Share
X2 does not use a mandatory recurring platform subscription as its standard commercial model. Services may use revenue participation, Service Fees, Usage Fees, API Usage Charges or other disclosed charges.
Where a service expressly adopts the standard X2 royalty model, X2 receives 15% and the eligible rightsholder or participant pool receives 85% of applicable Net Royalty Revenue. This split is not universal.
13. Taxes
Fees may be subject to VAT, GST, sales tax or similar indirect tax according to applicable law. Royalty withholding and income-tax obligations are separate from service-fee taxes.
14. APIs and Automation
API access is granted by service and scope. Access to one X2 domain does not automatically grant access to another. Users and developers must comply with credential, rate-limit, security, data-use and permission requirements.
15. AI and Synthetic Content
AI-generated and AI-assisted content may be eligible where sufficient commercial rights, permissions and required disclosures are established. AI detection alone does not constitute a definitive public finding of unauthorized AI use.
AI-related distribution, monetization, claiming and publishing eligibility are assessed separately.
16. Third-Party Services
Third-party services are subject to their own availability, rules, processing times and compliance requirements. X2 cannot override lawful provider decisions or guarantee permanent access to any particular external service.
17. Privacy and Cookies
Personal data is processed according to the Privacy Policy, Data Protection & GDPR Policy and Cookie Policy. Connected accounts are governed by the permissions granted by the user and applicable provider rules.
18. Enforcement
X2 may investigate suspected violations, place temporary protective restrictions, request evidence, remove affected content, restrict services, suspend credentials or terminate access according to the Anti-Fraud, Acceptable Use and Complaints and Appeals policies.
Temporary review, automated detection or a complaint is not automatically a confirmed violation or strike.
19. Availability and Changes
X2 may update, migrate, replace or retire service components and providers. Reasonable efforts will be made to preserve canonical records, historical rights information and accrued eligible entitlements where applicable.
20. Disclaimers and Liability
X2 does not guarantee commercial success, playlist placement, audience growth, revenue, rights-society acceptance, provider acceptance or uninterrupted availability. Liability is subject to applicable law and any specific contractual limitations agreed for the relevant service.
21. Termination
Users may stop using services subject to contractual obligations, outstanding fees, takedown processes, reconciliation, record-retention requirements and separate agreements. X2 may suspend or terminate access for violations, legal requirements, security risk or service discontinuation.
22. Governing Terms and Language
The governing law and jurisdiction for a specific contractual relationship are determined by the applicable operator, service order or separate agreement, without limiting mandatory consumer rights where applicable.
The English version is the primary version unless applicable law requires otherwise.
