Royalties & Payouts Terms
Accounting, reconciliation, statements, balances and payout rules for eligible revenue.
1. Scope
These Terms apply to eligible royalty, revenue-share and related amounts administered through X2, including Label revenue and other revenue-generating services unless specific terms provide otherwise.
2. Accounting Cycle
The initial accounting period is six months. After the first period, formal accounting and statements are ordinarily prepared every three months, subject to provider reporting, reconciliation and service-specific terms.
3. Reporting Delays
DSP, social, publishing, mechanical, performance and neighboring-rights sources may report on different schedules. Dashboard estimates may appear before formal statements or payable balances.
4. Revenue Statuses
X2 may distinguish Estimated, Reported, Pending, Reconciled, Payable and Paid amounts. Reported Revenue is not automatically Payable Revenue.
5. Relevant Dates
Records may distinguish Activity Date, Source Reporting Date, X2 Accounting Date and Payable Date so that late reporting and reconciliation are not confused with the original usage period.
6. Net Royalty Revenue
Net Royalty Revenue means applicable source revenue after provider adjustments, refunds, chargebacks, taxes, withholding and pre-disclosed pass-through deductions, before the applicable X2 revenue share.
7. X2 Share and User Entitlement
Where the relevant service expressly adopts a revenue share, the X2 Share is applied according to that service or agreement. The remaining eligible amount forms the User Entitlement or participant pool, subject to splits, holds and other applicable adjustments.
8. Late and Retroactive Revenue
Late or corrected source revenue is not forfeited merely because it arrives after the original accounting period. It may be included in a later cycle after reconciliation.
9. Currency and Conversion
Revenue may be reported and paid in different currencies. Currency conversion, provider fees, intermediary charges and receiving-bank charges may affect the final amount received.
10. Taxes and Withholding
X2 or an applicable provider may withhold tax where legally required. Service-fee VAT or sales tax is separate from withholding applied to royalty income or payouts.
11. Holds and Disputes
X2 may hold affected amounts for rights disputes, fraud review, chargebacks, legal requirements or beneficiary-verification issues. Where technically and legally possible, undisputed amounts may continue through normal accounting.
12. Payout Setup
Payment requires an eligible payout method and the identity, beneficiary, tax or other verification required for the relevant transaction.
13. Statements and Records
X2 may provide statements showing source amounts, adjustments, X2 share where applicable, participant allocation, withholding and Payable Amount. Historical financial records may be retained after account closure where legally required.
14. No Advance or Interest
Unless a separate agreement expressly provides otherwise, X2 does not owe an advance or interest on pending, disputed, unreconciled or unclaimed balances.
